Jason Y. Ng is a capital markets specialist with over two decades of experience in a full range of cross-border equity and debt transactions, including SEC registered, 144A and Regulation S offerings. Jason earned a dual degree in finance and electrical engineering from the Wharton School of the University of Pennsylvania. He holds a Juris Doctor and M.B.A. from the University of Toronto. He is admitted to the New York and the Massachusetts State Bars. He is currently the Managing Partner of Ng & Associates Foreign Law Office.
For 12 years between 2007 and 2019, Jason acted as APAC Head of Debt Capital Markets (CIB Legal) at the Hong Kong office of BNP Paribas, the second largest bank in Europe and the eighth largest bank in the world by total assets. At BNP Paribas, Jason led a team of senior lawyers to manage all aspects of debt capital markets transactions in Asia Pacific from origination to execution and settlement. During his tenure, he also served on various regional committees, including Diversity and Inclusion (D&I) and Corporate Social Responsibility (CSR), and acted as a mentor for BNP Paribas MixCity which fosters better representation of women at all levels of the bank.
Outside of his in-house role, between 2015 and 2024, Jason was an Adjunct Associate Professor at the Faculty of Law of the University of Hong Kong, which is consistently ranked among the top law schools in the world and 18th on the QS World Rankings in 2018. During his 10-year tenure at HKU Law, Jason taught international securities law, an advanced LL.M. capstone course that dealt with U.S. and Hong Kong securities law and regulation, and the execution of cross-border initial public offerings.
Prior to his in-house role at BNP Paribas, Jason was a Capital Markets Associate at White & Case LLP, a preeminent New York-based global law firm renowned for its established presence in key markets around the world. He worked at the firm’s New York office from 2001 to 2005 and Hong Kong office from 2005 to 2007. While there, Jason represented underwriters and issuers in complex cross-border capital markets offerings, responsible for drafting disclosure documents, negotiating transaction agreements, and responding to stock exchange and regulatory reviews.
In 2023, Jason relocated to Tokyo, Japan to study the Japanese language. In 2024, he became a registered foreign lawyer in Japan and a member of the Tokyo Bar Association. Jason set up his law practice in Japan, advising clients on cross-border securities transactions and other U.S. securities law matters as well as corporate documentation governed by New York law.
